Notification of Transactions by Directors/Persons Discharging Managerial Responsibility

On 1 June 2012, certain directors and persons discharging managerial responsibilities (together 'PDMRs') received ordinary shares in Kingfisher plc following the exercise of awards granted under the Company's long-term incentive plans.

The awards were granted under the Performance Share Plan ('PSP') and the Kingfisher Incentive Share Scheme ('KISS').  Awards granted under the PSP were granted in 2008 and 2009 and were linked to achieving challenging Earning per Share ('EPS') and Total Shareholder Returns ('TSR') targets over four years and three years respectively. Awards granted under the KISS relate to the deferred share element of the 2008/09 annual bonuses, which were awarded for achieving annual performance targets in that year.  Since Kingfisher's Delivering Value programme was launched in 2008 Kingfisher's adjusted pre-tax profit has risen from £357m to £807m, earnings per share have risen from 10.6p per share to 25.1p and year end net debt of £1.6bn has been virtually eliminated.

Following the receipt of shares, the PDMRs listed below subsequently sold the shares detailed in the table below to meet their tax liabilities arising on exercise and diversify personal finances.  These transactions occurred on 1 June 2012 at a price of 273.3639 pence per ordinary share and were notified to Kingfisher on 1 June 2012.

The table below sets out the number of Kingfisher plc shares exercised by each of the PDMRs, the number of shares subsequently sold and their total interest in Kingfisher plc shares following these transactions.  Kevin O'Byrne also has vested but unexercised options and awards over 1,548,176 Kingfisher shares.
