                              AGM and EGM results

All resolutions at the Company's Annual General Meeting were duly passed.

The resolution proposed at the EGM (the Whitewash Resolution) was also duly
passed. The result of the poll vote was as follows: in favour 40,762,780
(99.93%), against 28,644 (0.07%).

The Board of Kingspan now has authority to buyback up to 10% of its issued share
capital.
