                           BLOCK LISTING APPLICATION



Application has been made to the UKLA, Irish Stock Exchange and London Stock
Exchange for a total of 2,250,000 Ordinary Shares of 13 euro cents each ('shares
') to be admitted to the Official List.



It is expected that admission will be granted on 5th December 2005 and trading
will commence on 6th December 2005.



These shares are being reserved under a block listing and will be issued
pursuant to the following schemes:

The Kingspan Group plc 1998 Share Option Scheme                2,000,000
The Kingspan Group plc 2001 Second Tier Share Option Plan        250,000



When issued, these shares will rank pari passu with the existing Ordinary
Shares.
