Board Changes

The Board of Kingspan Group Plc announces the retirement from the Board of Mr.
Kevin O'Connell with effect from the completion of yesterday's Annual General
Meeting.  In paying tribute to Mr. O'Connell for his 24 years service as a
non-executive director, the Chairman Mr. Eugene Murtagh thanked him for his
significant contribution over the years and the independent viewpoint he always
brought to the Board.

The Board also announces the appointment of Mr. Louis Eperjesi as an executive
director, and Ms Helen Kirkpatrick, as a non-executive director of the Company,
with effect from the 1st June 2007.

Mr. Eperjesi is the Managing Director of the Group's UK and Irish Insulated
Panels businesses, which account for a significant portion of Group turnover.
He joined the Group in 2003, having previously been a director of Baxi Heating
UK.

Ms Kirkpatrick is currently a non-executive director of a number of private and
not for profit companies, and was formerly a non-executive director of the
International fund for Ireland, Enterprise Equity and NI CO Ltd.  She is a
Fellow of the Institute of Chartered Accountants in Ireland is a Member of the
Chartered Institute of Marketing.

Ms. Kirpatrick does not hold any shares in the Company.  Mr. Eperjesi holds
11,500 shares and 153,444 Options in the Company.  There are no disclosures
required to be made pursuant to LR 6.6.13 (1) to (6) of the Listing Rules.
