                  PURCHASE OF ORDINARY SHARES

Kingspan Group plc ('the Company') announces that it has purchased 220,000 of
its Euro 0.13 Ordinary shares at an average price of Euro 2.33.   The
purchases were made on Wednesday, 8 December 1999 and are intended to hedge
against an award to be granted under a Long Term Incentive Plan which the
Company proposes to introduce.  The shares will be held as Treasury shares
until vesting occurs.
