                         Resignation of Mr. Sam Rusk


Kingspan Group plc ('Kingspan') regret to announce that Mr. Sam Rusk resigned
as a non-executive director of the Company on 31st August 2001. Kingspan are
sorry to loose Mr. Rusk from the board but understand that he wants to pursue
his other business interests.
