Issue of shares under the Share Incentive Plan, Total Voting Rights and Notification of transactions by Persons Discharging Managerial Responsibilities (PDMRs)
Knights (AIM: KGH), a regional legal and professional services business, announces that it has allotted 657,732 new ordinary shares of 0.2 pence each in the capital of the Company ("Ordinary Shares") under the Company's Share Incentive Plan ("SIP"). The SIP is an all-employee trust arrangement, under which employees are able to acquire Ordinary Shares using deductions from salary ("Partnership Shares"), and receive allocations of matching free Ordinary Shares ("Matching Shares"). The number of Partnership Shares acquired by employees was calculated using a price of 192.99 pence each (being the closing mid-market share price on 4 September 2018).
Application has been made to the London Stock Exchange for the 657,732 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 11 September 2018.
After Admission, the total number of Ordinary Shares in issue will be 72,037,043 and the total number of voting rights will therefore be 72,037,043. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
Details of the number of Partnership Shares and Matching Shares acquired by the SIP trustee on behalf of executive directors, certain other PDMRs and/or employee insiders is set out in the table below:
