Posting of Notice of Special General Meeting

 

Lancashire Holdings Limited (the "Company") will hold a Special General Meeting ("SGM") on Thursday 18 August 2011 commencing at 12 noon (Bermuda time) at its Bermuda office, Power House, 7 Par-la-Ville Road, Hamilton HM 11, Bermuda. The meeting is being called to consider important resolutions recommended at meetings of the Company's board of directors (the "Board") on 25 - 26 July 2011. The resolutions are to authorise the Board to issue and allot shares for cash up to 10% on a non pre-emptive basis to provide flexibility in light of the Company's capital management strategy, and to change the Company's Bye-laws to allow meetings (of the Board and of shareholders) to be held in the United Kingdom in advance of its tax residency move following recent changes in UK law.

 

Notice of the Special General Meeting ("SGM Notice"), a form of proxy and a form of direction for holders of depositary interests have been posted to shareholders today. Shareholders entered on the register of members at 5:00pm (Bermuda time) on 25 July 2011 are entitled to attend and vote at the meeting (either in person or by proxy).

 

Copies of the SGM Notice and ancillary documents will be available on the Company's website, www.lancashiregroup.com from today and have also been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do
