Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 5,441,832 Ordinary shares of £1 each ('shares') to be
admitted to the Official List.

It is expected admission will be granted on 16 July 2002 and trading will
commence on 17 July 2002.

These shares are being issued as a result of the exercise of share options under
the Executive Share Option Scheme (12,750); the Savings Related Share Option
Scheme (1,169); Conversion of 6% Guaranteed Convertible Bonds due 2007
(3,176,836) and 7% Convertible Bonds due 2008 (2,251,077).

These shares now rank pari passu with the existing issued ordinary shares.
