Land Securities 1989 Profit Sharing Scheme

In accordance with the Trust Deed of the above scheme, the remaining 70,126
Ordinary shares of £1 each in this Company held by the Trustees have been
transferred to participants on the third anniversary of appropriation on 16 July
2001.

Two directors of this Company, I J Henderson and M R Griffiths, are Trustees of
the Scheme. Would you please amend your records to show that their current
non-beneficial holdings in the shares of this Company are nil.
