Issue of Equity

Amendment:

The Law Debenture Corporation p.l.c. notes amendments to the announcement of its Issue of Equity dated 10 March 2023 (the "original announcement").  Such amendments relate to:

· the total number of ordinary shares in issue. The total number of ordinary shares in issue has been changed from 128,874,541 to 128,875,549; and

· The total number of voting rights in the Corporation. The total number of voting rights in the Corporation has been changed from 128,874,541 to 128,875,549.

There have been no other changes to the original announcement.

On 10 March 2023 The Law Debenture Corporation p.l.c. (the "Corporation" ) issued 25,000 new ordinary shares of 5 pence each at a price of £8.20 per share under its block listing facility; these shares rank pari passu with the existing ordinary shares in issue. T he issue price equates to a premium to the net asset value per share at the time of the relevant transaction. Following this issue, the Corporation has the ability to admit a further 14,710,000 ordinary shares under its block listing facility.

As a result of the issuance, the total number of ordinary shares in issue now stands at 128,875,549 and the total number of voting rights in the Corporation is 128,875,549 . There are no shares held in treasury.

The above figure of 128,875,549 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Corporation under the FCA's Disclosure Guidance and Transparency Rules.
