Following the Corporation's 112th annual general meeting held on 9 April 2002,
the Corporation wishes to confirm that all resolutions were passed by the
shareholders. Among other things, this means that:
1. Christopher Duffett has retired from the Board and ceased to be a director
(and Managing Director) at the conclusion of the meeting. This is in
accordance with his intention as set out in the Corporation's announcement
to the markets on 19 June 2001.
2. Caroline Banszky, whose appointment as a director was announced on 29 January
2002, takes over as Managing Director with effect from the conclusion of the
meeting.
3. The sub-division of the Corporation's shares, as announced on 5 March 2002,
will take place following announcement of the Corporation's interim results,
on or about 31 July 2002. A further announcement will be made in due course,
giving details of the exact timing of the sub-division.
4. The Corporation's final dividend of 21.2 pence per ordinary share for the
year ended 31 December 2001 will be paid on 16 April 2002 to those
shareholders who were on the register at the close of business on 8 March
2002.
