Exercise of options, PDMR dealing and issue of new ordinary shares - Replacement

 

 

The following amendment has been made to the "Exercise of options, PDMR dealing and issue of new ordinary shares" announcement released on 4 May 2021 at 10:52 under RNS No 4550X.

The total number of shares sold by Nick Bowyer and his wife was 28,623 (and not 24,311).

All other details remain unchanged.

Exercise of options, PDMR dealing and issue of new ordinary shares

 

 

Learning Technologies Group plc, provider of services and technologies for digital learning and talent management, announces that on 27 April 2021 two employees exercised and sold 427,500 share options in the company at 175.15 per ordinary share and a further 16,696 shares were exercised by an early leaver of the 2019 LTG Sharesave scheme.

 

In addition, Nick Bowyer, Chief Operating Officer and a PDMR, and his wife sold 28,623 shares which were previously acquired in the LTG Sharesave scheme. The shares were sold for 175.00 pence per ordinary share on 28 April 2021. Following these dealings Nick Bowyer and his wife no longer have a beneficial holding in the ordinary shares of the Company.

 

Pursuant to the exercise of the above share options the Company confirms that application has been made to the London Stock Exchange for the admission of 444,196 new ordinary shares to trading on AIM. Admission is expected to take place at 8.00am on 5 May 2021.

 

Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 741,344,606 with each share carrying the right to one vote.

 

LTG holds 404,340 shares in treasury. The figure of 740,940,266 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
