Exercise of options, PDMR dealing and issue of new ordinary shares
Learning Technologies Group plc, provider of services and technologies for digital learning and talent management, announces that on 1 December 2021, two employees exercised options over and purchased 505,000 ordinary shares in the Company. A further 1,055 shares were exercised by an early leaver of the 2020 LTG Sharesave scheme.
Of the 505,000 shares options exercised, Tim Martin, Chief Innovation and Product Officer and a PDMR, purchased 375,000 shares. Following this purchase Tim Martin holds 375,000 LTG shares directly and 1,923,068 through a grantor trust; representing in total 0.292% of the issued share capital of the Company.
Pursuant to the exercise of the above share options the Company confirms that application has been made to the London Stock Exchange for the admission of 506,055 new ordinary shares to trading on AIM. Admission is expected to take place at 8.00am on 7 December 2021.
Following the anticipated admission of these shares, the total number of ordinary shares of 0.375p each in the capital of the Company in issue will be 787,536,403 with each share carrying the right to one vote.
LTG holds 404,340 shares in treasury. The figure of 787,132,063 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
