                        Leeds Group plc (the 'Company')
                         Extraordinary General Meeting

Leeds Group plc is pleased to announce that the special resolution to approve
the reduction of the Company's issued share capital and special capital payment
to shareholders, the reduction in nominal value of the Company's ordinary shares
and the reduction in the share premium account, was passed at the Extraordinary
General Meeting held today at 10am.

Consequently, as set out in the circular to shareholders dated 2 June 2003, the
proposed capital reduction including special capital payment to shareholders
will now require the confirmation of the High Court of Justice in England and
Wales (the 'Court'), which is expected to be given at a hearing scheduled for 23
July 2003. Subject to confirmation from the Court, the special capital payment
is expected to be made on 8 August 2003 and will be made to shareholders who
appear on the register of members at 5pm on the Effective Date, which is
expected to be 28 July 2003.

The Company will make a further announcement regarding the Court's confirmation
in due course.
