Notification of Transactions of Directors, Persons Discharging Managerial Responsibilities (PDMRs) and Connected Persons

The Legal & General Group 2010 Share Bonus Plan (SBP) and the Legal & General Group Plc Performance Share Plan 2004 (PSP) - Grant of Share Options and Restricted Shares

On 24 April 2012 Legal & General Group Plc (the Company) received notification that options and restricted shares had been granted on that date under the terms of the SBP and PSP plans, at an award price of 117.83p per ordinary share in respect of the Directors and PDMRs named below.

The restricted period in respect of the SBP awards and the performance period in respect of the PSP awards will end on 23 April 2015. In the case of Andrea Blance, the award has been made in the form of a nil paid option which can be exercised at any time between 23 April 2015 and 24 April 2022.

The performance condition attached to the PSP awards will be tested after three years and the vesting percentage confirmed at that time.  Participants can exercise their options at any time between the date the vesting percentage is confirmed and five years from the date of award.
