Legal & General Group Plc ('Group') announces that Honor Chapman, a
non-executive director, has informed it that, unknown to her, her Personal
Equity Plan manager sold 1,565 ordinary 10p shares in the Group on 3 January
1997 at a price of 367p per ordinary 10p share.  Following that transaction,
Mrs. Chapman now holds a total of 13,294 ordinary shares of 2.5p each in the
Group.
