Legal & General Group Employee Share Plan ('the Plan')

In common with all eligible employees, each of the executives directors of
Legal & General Group Plc ('Group') have been invited to apply for free shares
under the Plan. In addition, partnership shares under the Plan are offered on
a monthly basis. On 3 September 2001 each executive director was awarded 150
free shares and chose to contribute to purchase 74 partnership shares in the
Group. The Group matched these partnership shares on a one to one basis up to
£20 per month. Accordingly, each executive director received 12 matching
shares. The shares were purchased at a price of 168.7345p per share.

Following these awards, the executive directors' current beneficial holdings
(including those of their spouses) in Group now stand at:
