On 7 September 2001 the NatWest ISA & PEP Office purchased 274 ordinary shares
of 2.5p each in Legal & General Group Plc ('Group') on behalf of Mr. R. J.
Margetts, Chairman and non-executive director of Group, and 1,745 shares on
behalf of his wife, Mrs. J. S. Margetts, at a price of 154.75p per share. The
shares are held in their PEP schemes.

In addition, Mr. Margetts purchased 11,500 ordinary 2.5p shares in Group on 7
September 2001 at a price of 154.68p per share and transferred 23,546 shares
to his wife.

Following these transactions, Mr. Margetts' beneficial holding in Legal &
General shares, together with those of his wife, is 90,195.
