Legal & General Group Restricted Share Plan
The table below details ordinary shares of Legal & General Group Plc ('Group')
which have been released to executive directors of the Group from the Legal &
General Group Plc Restricted Share Plan. This and other long term share
incentive schemes are described in detail in the 2001 Report and Accounts. The
shares released under the Restricted Share Plan were originally allocated on 8
April 1999 and had to be held for three years before vesting. The price set in
accordance with tax legislation was 158.375p per share.

Mr G J Hoskin gave up his right to 2,492 shares to cover the tax liability
