Non Executive Directors' purchases

On 1 May 2002 the following non-executive directors of Legal & General Group Plc
('Group') have purchased 7,512 ordinary shares of 2.5p each ('shares') in Group
at a price of 158.75p per share.

R J Margetts purchased 18,794 ordinary shares in Group at a price of 158.75p per

Legal & General Group Plc Dividend Reinvestment Plan ('the Plan')

In accordance with the terms of the Plan, Lloyds TSB Registrars acquired shares
in Group on 1 May 2002 at a price of 159.013p on behalf of the following Group
directors:

Legal & General Group Employee Share Plan ('ESP')

In common with all eligible employees, each of the executive directors of Group
have been invited to apply for partnership shares under the Plan on a monthly
basis. On 1 May 2002 each executive director chose to contribute to purchase 79
partnership shares in the Group. The Group matched these shares on a one to one
basis up to £20 per month. Accordingly, each executive director received 13
matching shares. The shares were purchased at a price of 158.25p per share.

Following all the above reported transactions, the non executive directors'
beneficial holdings of ordinary shares are:
