Legal & General Group Plc (the 'Company')

The Company has today been informed by NatWest ISA and PEP Office that on 20
November 2002 it purchased 2,005 shares at a price of 109.68p on behalf of Mr R
J Margetts, the Chairman of the Company and 1,491 shares at a price of 109.68p
on behalf of Mrs J S Margetts, his wife. These shares will be held within PEPs
managed by NatWest ISA and PEP Office on behalf of Mr & Mrs Margetts.

Following this transaction, Mr Margett's beneficial shareholding in the Company,
including those of his wife, stands at 141,505.
