Legal & General Group Plc - Director Dealing

We have been informed by Lloyds TSB Registrars that they have today purchased
8,682 ordinary shares in Legal & General Group Plc ('Group') at a price of
71.45p on behalf of Mrs Jane Caroline Palmer, wife of Andrew Palmer a director
of Group, as an investment in a Single Company ISA.

Legal & General Group Employee Share Plan ('the Plan')

In common with all eligible employees, each of the executive directors of Legal
& General Group Plc ('Group') have been invited to apply for partnership shares
under the Plan on a monthly basis. On 1 April 2003 each executive director chose
to contribute to purchase 178 partnership shares in the Group. The Group matched
these shares on a one for one basis up to £20 per month. Accordingly, each
executive director received 28 matching shares. The shares were purchased at a
price of 70.5p per share.

Savings Related Share Option Scheme ('the Scheme')

In common with all eligible employees, each of the executive directors of Legal
& General Group Plc ('Group') have been invited to participate in the Scheme. On
1 April 2003 the following executive directors of Group were granted options
over the ordinary 2.5p shares in Group at a price of 55p per share:
