Legal & General Group Restricted Share Plan

The table below details ordinary shares of Legal & General Group Plc ('Group')
which have been released to executive directors of the Group from the Legal &
General Group Plc Restricted Share Plan. This and other long-term share
incentive schemes are described in detail in the 2002 Report and Accounts. The
shares released under the Restricted Share Plan were originally allocated on 11
April 2000 and were released on 3 April 2003. The price set in accordance with
tax legislation was 72.125p per share.
