Non Executive Directors' purchases

On 1 May 2003 the following non-executive directors of Legal & General Group Plc
('Group') purchased the following ordinary shares of 2.5p each ('shares') in
Group at a price of 76p per share.

Legal & General Group Plc Dividend Reinvestment Plan ('the Plan')

In accordance with the terms of the Plan, Lloyds TSB Registrars acquired shares
in Group on 1 May 2003 at a price of 75.7873p on behalf of the following Group
directors and their spouses:

Legal & General Group Employee Share Plan ('ESP')

In common with all eligible employees, each of the executive directors of Group
are invited to apply for partnership shares under the Plan on a monthly basis.
On 1 May 2003 each executive director chose to contribute to purchase 163
partnership shares in the Group. The Group matched these shares on a one to one
basis up to the value of £20 per month. Accordingly, each executive director
received 26 matching shares. The shares were purchased at a price of 76.25p per
share.

Following all the above reported transactions, the non-executive directors'
beneficial holdings of ordinary shares are:
