Legal & General Group Plc (the 'Company')

On 12 August 2003 the Natwest ISA & PEP Office purchased 1,015 ordinary shares
of 2.5p each in Legal & General Group Plc ('Group') on behalf of Mr. R. J.
Margetts, Chairman and non-executive director of Group, and 675 shares on behalf
of his wife, Mrs J. S. Margetts, at a price of 98.75p per share. The shares are
held in their PEP schemes.

Following these transactions, Mr. Margetts' beneficial holding in Legal &
General shares, together with those of his wife, is 247,836.
