The Company today announces that A. W. Palmer's, Group Director (Finance), share
interest increased by 144 ordinary shares of 2.5p each in Legal & General Group
Plc on 1 October 2003. The shares were acquired by the Plan Administrators for
the Maxi ISA of Mr. Palmer's wife at a price of 93.75p per share. The Company
and Mr. & Mrs. Palmer were first notified of this transaction on 19 December
2003.

Following this transaction, Mr. Palmer's beneficial holding of ordinary shares
now stands at 2,096,487.
