Legal & General Group Share Bonus Plan


The table below details shares which were allocated on 8 April 2004 to Executive
Directors of the Group under the Share Bonus Plan at a price of 96p per share.
These shares will normally be held in trust for three years before vesting. The
plan is described in more detail in the Group's 2003 Report & Accounts.

D. J. Prosser's additional award of 177,083 shares is subject to the Company
meeting a performance target. The number of Share Bonus Plan shares that may be
transferred to Mr. Prosser is dependent upon the Legal & General total
shareholder return compared with the FTSE 100, measured over a two-year period.

Legal & General Group Performance Share Plan

The following executive directors were allocated a conditional award of shares
under the PSP on 8 April 2004. The number of PSP shares that may be transferred
to the individual is dependent upon the Legal & General total shareholder return
compared with the FTSE 100, measured over a three-year period.

Legal & General Group Restricted Share Plan

The table below details ordinary shares of Legal & General Group Plc ('Group')
which have been released to Executive Directors of the Group from the Legal &
General Group Plc Restricted Share Plan. This and other long-term share
incentive schemes are described in detail in the 2003 Report and Accounts. The
shares released under the Restricted Share Plan were originally allocated on 10
April 2001 and were released on 13 April 2004. The price set in accordance with
tax legislation was 94.625p per share.

Legal & General Group Employee Share Plan

In common with all eligible employees, on 13 April 2004 each of the Executive
Directors of the Group were awarded 250 shares under the Legal & General Group
Employee Share Plan at a price of 94.5p per share.

Following these awards, the executive directors have beneficial interests in the
shares of Legal & General Group Plc (comprising shares, shares held by trustees
