Legal & General Group Plc ('Group') - Directors' shareholdings
Legal & General Group Plc Dividend Reinvestment Plan ('the Plan')
We have been advised by Lloyds TSB Registrars in respect of C. R. R. Avery
(executive director of Group) and by Morgan Stanley in respect of Sir David
Walker (non-executive director of Group) that, in respect of the interim
dividend paid on 1 October 2004 and, in accordance with the terms of the Plan,
the following number of shares in Group have been purchased on their behalf at a
price of 101.402p:

Sir David Walker 1,868
Following the above reported transaction, the directors' beneficial interest in
the ordinary shares of Group is:
