Legal & General Group Employee Share Plan


In common with all eligible employees, on 13 September 2004 each of the
Executive Directors of the Group were awarded 150 shares under the Legal &
General Group Employee Share Plan at a price of 103.1494p per share.


Legal & General Savings Related Share Option Scheme ('the Scheme')


In common with all eligible employees, each of the executive directors of Legal
& General Group Plc ('Group') have been invited to participate in the Scheme. On
10 September 2004 R. A. Phipps was granted 2,493 options over the ordinary 2.5p
shares in Group at a price of 76p per share.



Following these awards, the executive directors have beneficial interests in the
shares of Legal & General Group Plc (comprising shares, shares held by trustees
