Legal & General Group Plc ('the Company') today announces that it has been
notified that on 13th June 2005 Frances Heaton, a non-executive director of the
Company sold 7,300 shares in the Company from her ISA account at £1.0938p per
share, in addition to that transaction she acquired 7,300 shares in the Company
at £1.0962p per share.



Following these transactions Frances Heaton's beneficial shareholding in the
Company remain at 55,190 shares.
