                         Directors' Shareholdings


Each of the executive directors of the Group listed below, in common with all
eligible staff, was allocated 200 ordinary shares of 2.5p on 17 April 2000 at
a price of 173p per share under the Legal & General Group Staff Profit Sharing
Plan.  These shares will be held for the defined period under the rules of the
Plan.

Following the above allocation, the beneficial entitlements (comprising
directly held ordinary shares, shares held by the trustees of the Staff Profit
Sharing Plan and shares held under the Restricted Share Plan) of each of the
executive directors of the Group are:
