Directors' Notification of Dealing in Shares

Mr. A. J. Hobson, an executive director of Legal & General Group Plc ('Group')
today sold 95,000 ordinary shares of 2.5p each in Group at a price of 170p per
share.

Following this disposal, Mr. Hobson's beneficial holding in the ordinary
shares of 2.5p each in Group is 480,852.

Mr. D. Rough, an executive director of Group, today sold 150,000 ordinary
shares of 2.5p each in Group at a price of 169.75p per share.

Following this disposal, Mr. Rough's beneficial holding in the ordinary shares
of 2.5p each in Group is 656,169.

The beneficial holdings exclude potential future entitlements under Group's
long-term incentive and share option schemes, which are described in detail in
the 1999 Report & Accounts.
