Directors' Shareholdings
The non-executive directors of the Group have today purchased the following
holdings in the ordinary shares of 2.5p of the Group at a price of 168p.
These holdings have been purchased with part of their non-executive fees for
2000.

The executive directors of the Group have been allocated a conditional award
of shares under the Legal & General Group Performance Share Plan on 11 April
2000 at a price of 173p per share. The Performance Share Plan grants
conditional shares to senior managers, based upon performance and is described
in the 1999 Report and Accounts. The number of performance shares eventually
transferred to the individual is dependent upon the Legal & General total
shareholder return compared with the FTSE 100, measured over a three year
period.

The table below details ordinary shares of Legal & General Group Plc, which
were allocated on 11 April to executive directors of the Group under the
Restricted Share Plan. Under this Plan, senior managers were invited to use
their cash bonus for 1999 to buy Legal & General shares at the predetermined
price of 173.25p which are then matched by the Company. These matched shares
will be held in trust for three years before vesting.

In addition, each of the above executive directors of the Group, in common
with all eligible staff, was allocated 500 share options on 11 April 2000
under the Company Share Option Plan at a price of 173p per share, with the
exception of David Rough, who was granted 500 options under the Legal &
General 1999 Executive Share Option Scheme at a price of 173p. These shares
will be held for the defined period under the rules of the Plan/Scheme.
The beneficial entitlements (comprising directly held ordinary shares, shares
held by the trustees of the Staff Profit Sharing Plan and shares held under
the Restricted Share Plan) of each of the executive directors of the Group
