Directors' Notification of Dealing in Shares

We have today been advised that 146 ordinary shares of 2.5p each in Legal &
General Group Plc (the Group) were purchased for Mr. R. A. Phipps, an
executive director of the Group, on 11 May 2000 at a price of 165p per share
and that on the same day 43 ordinary shares of 2.5p each in the Group were
purchased for Mrs. C. A. Phipps, the wife of Mr. R. A. Phipps, at a price of
165p per share.  These purchases were made by the PEP/ISA manager in respect
of dividend reinvestment into their PEP/ISA investments.
