   Bank Plc ('NatWest') for Legal & General
   Group Plc ('Legal & General')
                        
The Offer Document incorporating the
recommended Offer made by J.P. Morgan
Securities Ltd ('J.P. Morgan') on behalf of
NatWest for the entire issued share capital
of Legal & General (the 'Offer') together
with Listing Particulars relating to NatWest
were posted to shareholders today. The first
closing date of the Offer is 11 October 1999.

On the same date, a circular (together with
the Listing Particulars and, for information,
the Offer Document) were posted to NatWest
Shareholders, seeking their approval of,
inter alia, the Offer at an EGM to be held at
on 6 October 1999.

J.P. Morgan, which is regulated in the United
Kingdom by The Securities and Futures
Authority Limited, is acting for NatWest and
no one else in connection with the Offer and
will not be responsible to anyone other than
NatWest for providing the protections
afforded to the customers of J.P. Morgan or
for providing advice relating to the Offer.

J. Henry Schroder & Co. ('Schroders'), which
is regulated in the United Kingdom by The
Securities and Futures Authority Limited, is
acting for Legal & General and no one else in
connection with the Offer and will not be
