Publication of Circular and Notice of General Meeting
Cancellation of the share premium account
Liontrust announces that it is today posting a circular to shareholders (the "Circular") in connection with the proposed cancellation of the entire amount currently standing to the credit of the Company's share premium account (the "Capital Reduction").
The Capital Reduction is conditional upon the approval of Liontrust's shareholders and approval by the High Court of Justice in England and Wales. Subject to such approvals being granted, the Company will cancel the entirety of its share premium account in order to create distributable reserves that will be available to support the future payment by the Company of dividends to its shareholders.
Accordingly, the Circular contains a notice convening a general meeting of Liontrust's shareholders (the "Notice of General Meeting"), which is to be held at 10.00am in the Pinafore Room at the Savoy Hotel, Strand, London, WC2R 0EZ on 7 July 2023, at which a special resolution will be proposed to approve the Capital Reduction.
The Circular (including the Notice of General Meeting) will be available on the Company's website, www.liontrust.co.uk/investor-relations from midday today and will be submitted to the FCA's National Storage Mechanism and will shortly be available for inspection.
