Notification of transactions of directors/persons discharging managerial responsibilities
The information contained in this notification is disclosed in accordance with DTR 3.1.4R(1)(a) of the Disclosure and Transparency Rules of the Financial Services Authority.
Liontrust Asset Management Plc ("the Company") was informed on 30 June 2014 of the following transactions in the Company's ordinary shares of 1p ("Shares") by Directors of the Company.
On 30 June 2014 John Ions, Vinay Abrol and Jonathan Hughes-Morgan purchased Shares and on 19 June 2014 Adrian Collins was granted nil-priced options over Shares, in each case, pursuant to the Liontrust Deferred Bonus (for employees) and Variable Allocations (for members) Plan (the "DBVAP").
Under DBVAP a significant proportion of Executive Director bonuses (for employees) and variable allocations (for members) are deferred and invested in Shares, which are subject to claw back provisions and vest over three years.
The number of Shares purchased by John Ions, Vinay Abrol and Jonathan Hughes-Morgan, which are held in their own names, and the purchase price were as follows:

The Company granted 21,988 nil-priced options under the DBVAP. The total number of Shares over which options are held by Adrian Collins following this notification is 1,035,611, which is 2.4% of the issued share capital of the Company.
The Trustee of the Liontrust Asset Management Employee Trust has notified the Company that it acquired in the market a total of 21,988 Shares on 19 June 2014 at a price of 262 pence per share. Following this transaction, the Trust held a total of 2,527,946 Shares in which the following directors had an interest as potential beneficiaries: Adrian Collins, Vinay Abrol and John Ions. The Liontrust Asset Management Employee Trust is a trust, which purchases or subscribes for Shares, so as to allow the Trustee to satisfy the exercise of options granted under various options schemes and the DBVAP. However, only purchased Shares may be used to satisfy options granted under the DBVAP.
