William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan ('the ESOP') and on
1 November 2002 were allocated 132 ordinary shares each at a price of 284 p per
share. This takes their total holdings to 1,555,898; 1,750,790 and 481,320
ordinary shares respectively, representing approximately 4.65 per cent, 5.23 per
cent and 1.44 per cent. respectively of the ordinary issued share capital of the
Company.
