William Carey, Nigel Legge and Andrew Yates, directors of the Company, are

participants in the Company's Employee Share Ownership Plan ('the ESOP') and

on 8 August 2002 were allocated 145, 145 and 181 ordinary shares

respectively at a price of 280p per share. This takes their total holdings

to 1,555,507, 1,750,399 and 480,929 ordinary shares respectively,

representing approximately 4.68 per cent, 5.26 per cent and 1.44 per cent.

respectively of the ordinary issued share capital of the Company.'
