William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan (the 'ESOP') and on
19 December 2002 were allocated 111, 111 and 111 ordinary shares respectively at
a price of 339p per share. This takes their total holdings to 1,556,126;
1,751,018 and 481,552 ordinary shares respectively, representing approximately
4.65 per cent, 5.23 per cent. and 1.44 per cent. respectively of the ordinary
issued share capital of the Company.
