William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan ('the ESOP') and on
26 November 2002 were allocated 117, 117 and 121 ordinary shares respectively at
a price of 329 p per share. This takes their total holdings to 1,556,015;
1,750,907 and 481,441 ordinary shares respectively, representing approximately 
4.65 per cent, 5.23 per cent and 1.44 per cent. respectively of the ordinary 
issued share capital of the Company.
