William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan (the 'ESOP') and on
28 February 2002 were allocated 134, 134 and 135 ordinary shares respectively at
a price of 278p per share. This takes their total holdings to 1,556,393;
1,751,285 and 481,819 ordinary shares respectively, representing approximately
4.64 per cent, 5.23 per cent. and 1.44 per cent. respectively of the ordinary
issued share capital of the Company.
