William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan (the 'ESOP') and on
7 February 2002 were each allocated 133 ordinary shares respectively at a price
of 284p per share. This takes their total holdings to 1,556,259; 1,751,151 and
481,685 ordinary shares respectively, representing approximately 4.64 per cent,
5.23 per cent. and 1.44 per cent. respectively of the ordinary issued share
capital of the Company.
