Notification of directors' interests: Companies Act 1985 s.329
William Carey, Nigel Legge and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan (the 'ESOP') and on
15 April 2003 were allocated 132, 132 and 131 ordinary shares respectively at a
price of 278p per share. This takes their total holdings to 1,556,525; 1,754,843
and 481,950 ordinary shares respectively, representing approximately 4.64 per
cent, 5.24 per cent. and 1.44 per cent. respectively of the ordinary issued
share capital of the Company.
