2004 of dealing in the Company's ordinary shares as follows:

Nigel Legge, Vinay Abrol and Andrew Yates, directors of the Company, are
participants in the Company's Employee Share Ownership Plan (the 'ESOP') and on
23 December 2004 were allocated 279, 289 and 289 ordinary shares respectively at
a price of 293p per share.

Nigel Legge's total interest following this notification is 881,640 ordinary
shares or 2.52% of the total issued share capital of the Company.  Vinay Abrol's
total interest following this notification is 393,461 ordinary shares or 1.12%
of the total issued share capital of the Company.  Andrew Yates' total interest
following this notification is 484,261 ordinary shares or 1.38% of the total
issued share capital of the Company.
