Expected completion of Acquisition of Majedie Asset Management Limited
Issue of Equity and Total Voting Rights
Liontrust Asset Management Plc ("Liontrust" or the "Company"), announces, further to the announcement of 7 December 2021, that change of control approval has been received from the Financial Conduct Authority and that the acquisition of Majedie Asset Management Limited ("Majedie") is expected to complete on 1 April 2022.
On Completion, Liontrust will issue 3,683,220 new ordinary Liontrust shares of 1p each (the "New Ordinary Shares") to the shareholders of Majedie as part of the consideration due for the purchase of the entire issued share capital of Majedie.
Application has been made for the New Ordinary Shares to be admitted to the Official List and to trading on the London Stock Exchange, both of which are expected to become effective on 1 April 2022.
Following the admission to trading of the New Ordinary Shares, the Company's share capital will consist of 64,935,384 ordinary shares of 1p each with voting rights. No ordinary shares are held in Treasury.
Thereafter, the total number of voting rights in the Company will be 64,935,384.
The above figure of 64,935,384 may then be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
