                             Lloyds TSB Group plc

Application has been made to the UK Listing Authority and to the London  Stock
Exchange for the blocklisting of 56,900,000 ordinary shares of 25p each  fully
paid  of  Lloyds TSB Group plc, ranking pari passu with the existing  ordinary
shares, to be admitted to the Official List and to trading on the London Stock
Exchange.  These shares will be allotted pursuant to the Lloyds TSB Group No.1
executive share option scheme 1997, the Lloyds TSB Group No.2 executive  share
option scheme 1997 and the Lloyds TSB Group sharesave scheme 1997.
