LLOYDS TSB GROUP BOARD

Gavin Gemmell, CBE, will succeed Lawrence Urquhart as chairman of Scottish
Widows Group, following the Lloyds TSB Group plc annual general meeting in
2002. On the same day, he will join the board of Lloyds TSB Group as a
non-executive director and Mr. Urquhart will retire.

Mr. Gemmell (aged 60) is currently deputy chairman of Scottish Widows Group
and a former senior partner of Baillie Gifford & Co.

Maarten van den Bergh, Chairman of Lloyds TSB Group, said: 'I am delighted
that Gavin Gemmell, who has wide-ranging experience in fund management, has
been appointed to succeed Lawrence Urquhart as chairman of Scottish Widows
Group next year, and that he will be joining the Lloyds TSB Group board.

'I also greatly appreciate the help and support Lawrence has given me and the
board. His contribution to the smooth integration of Scottish Widows into the
group has been particularly valuable.'
