The company has been advised today that a transfer of 65,854 shares from Hill
Samuel Offshore Trust Company Limited, as trustee of the Lloyds TSB Group
employee share ownership trust, at 757p per share, was registered on 16th August
2002.
The following directors, together with some 75,000 other employees, are
potential beneficiaries of the trust and are therefore to be treated as
interested in the remaining 1,736,288 shares held by Hill Samuel Offshore Trust
Company Limited.
